What a Form D is

A company selling securities under a Regulation D exemption files a Form D with the SEC within 15 days of the first sale. That covers most private rounds: seed, venture, growth equity and convertible notes, whether or not the round is ever announced. The filing names the company's address, industry, offering size, the amount sold so far, the number of investors, and its executive officers and directors.
